These Vendor Terms & Conditions govern your access and usage of Digystate’s platform, tools, and services. By registering as a vendor, you agree to comply with the following terms:

1. Vendor Eligibility
To become a vendor on Digystate:
You must provide accurate business information.
You must comply with all local laws and business registration requirements.
Digystate reserves the right to approve or reject vendor applications.

2. Vendor Responsibilities
Vendors agree to:
Maintain accurate profile and business details.
Provide timely support to customers acquired through Digystate services.
Use the WhatsApp API and other tools ethically and lawfully.
Not engage in spam, misleading communication, or fraudulent activity.

3. Content & Communication
Vendors are responsible for:
The content they send through WhatsApp API, email, or other channels.
Ensuring all promotional material is legal, safe, and compliant with WhatsApp policies.
Avoiding banned content such as drugs, hate speech, illegal services, or misleading claims.

4. Payment & Billing
All payments to Digystate (setup fee, API charges, service fee) are non-refundable.
Vendors must ensure timely renewal of subscriptions.
Failure to maintain active payments may lead to service suspension.

5. Compliance With WhatsApp Policies
Vendors must follow:
WhatsApp Business API policies
WhatsApp Commerce policies
WhatsApp Message template guidelines
Violation may lead to immediate account termination.

6. Data Usage & Ownership
All customer data collected through the vendor’s campaigns belongs to the vendor.
Digystate does not use, sell, or share vendor data.
Vendors must ensure that customer data is collected lawfully and consensually.

7. Prohibited Activities
Vendors must not:
Send bulk unsolicited messages
Mislead customers
Promote illegal/unsafe content
Share harmful files or links
Engage in activities that may harm Digystate’s reputation

8. Limitation of Liability
Digystate is not responsible for:
Loss of leads
WhatsApp/Meta policy bans caused by the vendor
Outages, downtimes, or third-party failures
Financial, data, or goodwill losses

9. Termination
Digystate may suspend or terminate a vendor account if:
Terms are violated
Misuse or illegal activity is detected
Payments are overdue
